A. CALL TO ORDER/ROLL CALL
President Jim Zell called a special meeting of the Board of Directors of the Stinson Beach County
Water District to order at 4:05 p.m. on Monday, December 11, 2000, at the District Office located
at 3785 Shoreline Highway in Stinson Beach, California.

The agenda was adopted as presented.
D. OPEN SESSION
Elizabeth Sapanai summarized the procedure to be followed by the Board for the performance
review of the General Manager. Richard Dinges advised the Board that he was currently in
contract negotiations with another District.
The Board met in closed session.
Joe Veit advised that the employee review had resulted in an agreement to retain Mr. Dinges
under contract as an employee of the District on condition of a seven percent increase in base
salary, amendment to the contract to stipulate four weeks of paid vacation, and that oil change
and tire automobile maintenance on his leased automobile would be paid for by the District up to
$500.00 per year. Additionally, Mr. Dinges agreed to enroll in a communications class to further
his skills. Motion to amend the employee contract to reflect the agreed upon changes to
commence on January 1, 2001 made by Joe Veit, seconded by Elizabeth Sapanai, amended by

5:00 p.m. by unanimous vote.
